IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND COMPANY’S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY AllRiffs AND YOU TO BE BOUND BY THESE TERMS. THESE TERMS APPLY TO ALL USERS OF THE WEBSITE, INCLUDING WITHOUT LIMITATION USERS WHO ARE A BUSINESS ENTITY, CUSTOMERS, BUYERS, SELLERS, PRODUCERS OF CONTENT, INFORMATION AND OTHER MATERIALS OR SERVICES ON THE WEBSITE.
1.2 Changes to Terms of Use
YOU UNDERSTAND AND AGREE THAT IF YOU USE THE WEBSITE AFTER THE DATE ON WHICH THE TERMS OF SERVICE HAVE CHANGED, YOUR USE OF THE WEBSITE WILL EQUAL YOUR ACCEPTANCE OF THE UPDATED TERMS OF SERVICE.

YOU AGREE TO USE AllRiffs AT YOUR OWN RISK. AllRiffs DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ANY MATERIAL, IMAGES, OR FILES OBTAINED FROM OR THROUGH AllRiffs ARE FREE FROM COMPUTER VIRUSES OR OTHER FAULTS OR DEFECTS. IT IS YOUR RESPONSIBILITY TO TAKE CUSTOMARY PRECAUTIONS AGAINST COMPUTER VIRUSES.
IF YOU DO NOT AGREE WITH THE TERMS, PLEASE DO NOT USE THE WEBSITE.
THE TERMS OF USE INCORPORATE A PRIVACY POLICY WHICH CAN BE FOUND ON THE WEBSITE FOOTER.
By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. AllRiffs does not review content provided by our Members or others. You agree that we are not responsible for others’ (including other Members’) content or information. We cannot always prevent this misuse of our Services, and you agree that we are not responsible for any such misuse.
You agree to indemnify, defend and hold harmless AllRiffs, officers, managers, members, employees, agents, attorneys, affiliates, successors and assigns, from and against any liability, loss, claim, investigation, settlement, judgment, proceeding, cost and expense, including without limitation reasonable attorneys’ fees and disbursements, whether or not a claim or other proceeding is filed, that in any way arises out of or relates to (a) your breach or violation of these Terms of Service or any applicable law; or (b) your infringement of any copyright or intellectual property rights of any person or entity; (c) your use of the Website. This provision shall survive the termination of these Terms of Service for any reason.
2 INTRODUCTION
AllRiffs is an online marketplace to enable the listing of a direct person-to-person music production related products and services.
ALLRIFFS, a company incorporated in England and Wales with registered number 12978709 whose registered office is at ALLRIFFS 71-75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ.
3 GENERAL
3.1 Eligibility
You must be at least 16 years old to use the Service by agreeing to these Terms, you represent and warrant to us that:
a) your previous account has not been cancelled or terminated; and
b) your use of the Website does not violate any applicable law or regulation.
c) If you are an individual accepting these Terms on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind them (including partners) to these Terms.
d) you are of legal age to agree to these terms and conditions or you have your parents or legal guardian’ permission to do so.
e) Your profile and all associated Content may be deleted and your membership(s) may be terminated without warning if AllRiffs believes that you are in breach of any of the foregoing representations and warranties.
4 YOUR ACCOUNT AND USER PROFILE
As an account holder, you agree to:
a) choose a strong and secure password;
b) keep your password secure and confidential; We retain and use all information strictly under the Privacy Policy which can be found on the website footer.
c) You are the unique holder of your account;
d) We may contact you by using e-mail or other electronic communication methods
e) follow the law and our terms of use. You are responsible for anything that happens through your account up to the point you choose to have it closed or report misuse.
5 YOUR CONTENT, INTELLECTUAL PROPERTY AND COPYRIGHT OWNERSHIP limitations
Each time you submit any Content, you represent and warrant that you are at least the age of majority in the jurisdiction in which you reside or are the parent or legal guardian, or have all proper consents from the parent or legal guardian, of any minor (including yourself) who is depicted in or contributed to any Content you submit, and that, as to that Content:
a) you are the sole author and/or owner of the Content posted by you on, through or in connection with the AllRiffs Services, all without any AllRiffs obligation to obtain consent of any third party and without creating any obligation or liability of AllRiffs,
b) the Content is accurate;
c) the posting of your Content on, through or in connection with the AllRiffs Services and/or Linked Services does not violate the privacy rights, publicity rights, intellectual property rights, contract rights or any other rights of any person or entity; and
d) the Content will not violate this Agreement or any Additional Terms, or cause injury or harm to any person. You agree to pay all royalties, fees, and any other monies owing any person or entity by reason of the use of any Content posted by you on or through the AllRiffs Services and/or Linked Services.
e) AllRiffs has no ownership rights over the content uploaded by users, and you have no responsibility over it.
Protecting Copyrights and Other Intellectual Property
AllRiffs respects the intellectual property of others, and requires that our Users and Members do the same. You may not upload, embed, post, email, transmit or otherwise make available any Content that infringes any copyright, patent, trademark, trade secret, privacy, publicity or other proprietary rights of any person or entity. It is AllRiffs’ policy to terminate, in appropriate circumstances, the Membership of repeat or substantial infringers. If you believe your work has been copied and posted on or through the AllRiffs Services in a way that constitutes copyright and/or trademark infringement. If you identify any infringement of these terms, please notify AllRiffs so that the appropriate actions are taken. AllRiffs can be contacted on with regards to Copyright Infringement using the contact us form (link found on the footer of the website).
At the time a work is delivered, the seller grants to the buyer all intellectual property rights, including but not limited to, copyrights for the work delivered from the seller. However, any assignment of copyright is dependent on an agreement between the buyer and seller in which the seller transfers all rights in and to the proceeds of the seller’s Service. It is up to you to know your rights. Again, a transfer of copyright from the seller to the buyer is dependent on the seller and buyer signing a contract. AllRiffs is not liable for the buyer or seller’s lack of obtaining any such contracts.
Sellers further assert that whatever information they receive from the buyer, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the buyer. Furthermore, users agree that unless they explicitly indicate otherwise, the content users voluntarily create/upload to AllRiffs, including service text, images, videos, usernames, user photos, user videos and any other information may be used by AllRiffs for no consideration for marketing and/or any other purpose.
You cannot send or upload any material or data to AllRiffs which is harmful, contains corrupt computer code, contains a virus, is otherwise malicious or harmful, or that attempts to corrupt or change the material, images, notices, or files on AllRiffs. You cannot use AllRiffs to send or post any material which is obscene, pornographic, offensive, defamatory, unlawful, promotional, spam, copyright-protected, or otherwise harmful. You may not interfere with or inhibit any other person’s use of AllRiffs. You may not use AllRiffs in connection with any fraudulent or unlawful purpose; you may not impersonate another person or entity or misrepresent yourself while using AllRiffs. You agree that all information you provide to AllRiffs is true, accurate, and complete, and you will maintain and regularly update such information. Failure to comply with these terms will result in a permanent block of your AllRiffs account.
AllRiffs's content is based on User Generated Content. AllRiffs does not check user uploaded/created content for violations of copyrights, trademarks or other rights. We invite everyone to report suspected violations together with proof of ownership. Reported violating content will be removed. By offering a service, the seller asserts that it has sufficient permissions to provide, sell or resell the service that they offer on AllRiffs.
You are granted a broad royalty-free license for every product that you download from AllRiffs. This means you can use, reuse, remix, and otherwise modify downloaded products for use in any of your productions, including commercial projects.
6 COMMUNICATIONS
AllRiffs is not liable if you do not receive e-mail messages from AllRiffs or from other users of AllRiffs, if such emails go to your spam folder, if files are lost, or for any other reason. All users of AllRiffs should set their e-mail programs to receive e-mails from AllRiffs and should back up all files on their own equipment.
The materials and images on AllRiffs, as well as the AllRiffs name, are the property of AllRiffs and are protected by copyright and trademark laws. You may view the AllRiffs name, materials, and images on your computer for purposes of using AllRiffs Products and Services, but you may not use any of the AllRiffs name, material, or images in any other way without written permission from AllRiffs.
6.1 Notices and Messages
By agreeing to keep your contact information up to date, you agree that you will receive notices and messages from AllRiffs, from within the Service or/and sent to the contact information you provided us (e.g., email, mobile or telephone number, physical address). Please refer to the Privacy Policy document (link found on the footer of the website).
6.2 Links to Third-Party Websites
Third-party apps and sites have their own legal terms and privacy policies, and you may be giving others permission to use your information in ways AllRiffs would not. Except to the limited extent it may be required by applicable law, AllRiffs is not responsible for these other sites and Third-party apps therefore if you use any of these, use these at your own risk. Please refer to our Privacy Policy for more details. If AllRiffs has links to third party websites, AllRiffs is not responsible for the content of those websites and users are subject to their Privacy Policies.
7 PRODUCTS, SERVICES, PRICING AND PAYMENTS
7.1 PRODUCTS & SERVICES
a) The description of the Services and any Products is as set out in the Website, catalogues, brochures or other form of advertisement. Any description is for illustrative purposes only.
b) In the case of Services and any Products made to your special requirements, it is your responsibility to ensure that any information or specification you provide is accurate.
c) At our sole discretion, we can make changes to the Services which are necessary to comply with any applicable law or safety requirement. We will notify you of these changes.
AllRiffs gives the opportunity to users to list a variety of products and services related to music production. The so called “product” is a file that is uploaded to the website for other users to buy or trade. A “service” requires the buyer to purchase a task from another user (seller of products or services). This could be for example, the editing of files, mixing of a number of tracks, lessons on how to play an instrument or how to use a piece of gear/software application.
7.2 PAYMENTS and PRICING OF PRODUCTS AND SERVICES
SUBSCRIPTION/MEMBERSHIPS:
After a user opens an account on AllRiffs, before start uploading his products or services, the user must purchase a membership plan. Depending on the membership plan, this will allow access to the products and services available within that plan. Each plan has its own specific rules on how it can be used. The platform will provide notifications via email or messages on the platform to inform and provide a pleasant experience to the user.
You must pay by submitting your credit or debit card details with your Order and we can take payment immediately.
PRICING:
The Pricing of the membership plans is defined by AllRiffs and AllRiffs reserves the right over time to change these at its sole discretion.
Depending on the Product or Service, the prices for the Products and Services on AllRiffs are defined by the users. Only registered users can buy or/and sell services on AllRiffs. To be able to buy, sell or trade any product or service from or on the website the users must be registered and pay the relevant subscription fee where applicable. Depending of the type of product/service, the user must follow the buying/selling procedure set by AllRiffs.
Products and Services on AllRiffs are for any audio or visual related service that can be downloaded online directly from the AllRiffs website or via third party service if the service is provided by a seller on the platform. The transfer of files and delivery of services agreed and sold on the platform, will be done via third party platform. AllRiffs recommends that all communication between a buyer and a seller is documented and recorded.
Fees and charges include VAT at the rate applicable at the time of the Order.
7.3 SELLING YOUR PRODUCTS/SERVICES
To be able to sell products or services on AllRiffs, the seller must open an account with the payment gateway specified on the account settings on the platform.
When a user buys a product or service from a seller, a notification will be sent to both users (buyer and seller) with instructions on how to proceed. AllRiffs recommends that all sellers and buyers agree on a reasonable delivery time to avoid order disputes. Raising an order dispute will result on access to market being denied to both parties until the dispute is resolved between buyer and seller and the order is confirmed complete on the platform. AllRiffs reserves the right at its sole discretion to modify this process at any time. If a user has a high number of order disputes AllRiffs reserves the right at its sole discretion to terminate his account.
AllRiffs receives a 5% commission from the sale price for each service or product as shown on the website and sold on AllRiffs. AllRiffs reserves at its sole discretion to modify the commission rates. Note that each transaction is subjected to Stripe’s commission rates in use at the time of purchase.
Sellers are payed after a product or service is purchased on the platform via the payment gateway Stripe. Stripe’s Terms & Conditions apply. Delivery of funds to the seller’s bank account is subjected to payment gateway procedures only. An order is complete once the buyer reviews the delivered work and marks the order as complete on the platform.
AllRiffs does not allow links (to websites, social media pages, etc.) or reference any URLs to be included in their within their service descriptions, images, or videos. Failure to comply may result in account termination.
AllRiffs rates the buyer and seller when purchases and sales are made. For each purchase, a buyer gets 10points. For each sale, a seller gets 10points. Depending on the ratings value achieved with a set period by AllRiffs, the buyer and seller may receive rewards such as coupons and/or discounts for future use on the website. Loyalty to AllRiffs, will also lead to bigger discounts overtime. These will be defined on the website and may change over time.
Tax must be paid on any income generated via this website, and all users must report it to the local Tax authority. Detailed revenue information can be found within the reports section of Stripe the payment gateway account.
Top Rated Sellers are chosen automatically by AllRiffs based on a list of criteria, including volume of sales, volume of trades and high rating. AllRiffs, will reward high performers in the form of discounts on memberships, spotlight period as examples.
We recommend that users promote their services on the website by buying exposure time in the spotlight section. By doing so, the user increases his chances of generating more sales, trade more products as examples. This will then lead to higher ratings and rewards.
7.4 PAYMENTS
Payment of any product or service listed in the website must be made only through AllRiffs. Failure to do so may result in account termination. To purchase any product/service simply follow the instructions on the page.
If you buy any Product or Service, you agree to pay us the applicable fees and associated taxes specific to the paid Services. Failure to pay these fees will result in the termination of your account.
Also, you agree that:
a) All products and services will be sold in the currency: “British Pounds”.
b) Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).
c) The payment gateway will may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other Services you may buy.
d) If you purchase a subscription with the exception of when the “FREETRIAL” coupon is used, your payment method automatically will be charged at the start of each subscription period for the fees and taxes in use at the time of purchase. To avoid future charges, cancel the membership plan in your account settings before the renewal date.
e) “FREETRIAL” coupon can only be used once.
f) Not all memberships’ features will be available during the free trial period.
g) By not using the FREETRIAL coupon on your purchase or if other coupon is used, you accept to waive the right to the cool off period in accordance to the Consumer Contracts Regulations.
h) The free trial membership must be cancelled before the 15 trial period if the user wishes to purchase any subscription and have access to all the features applicable of the purchased membership plan.
i) AllRiffs, recommends making note of the expiry dates of any membership purchased as well as keeping an eye on the notifications sent by AllRiffs. A notification of renewal date will be sent via email.
j) We may calculate taxes payable by you based on the billing information that you provide us at the time of purchase.
k) The user’s payment information is subject to the Terms & Conditions and the Privacy Policy of the third party payment service.
l) notifying AllRiffs immediately if there are changes to their billing information.
m) Risk of damage to, or loss of, any Products, will pass to you when the Products are delivered to you.
7.5 Governing Law:
This agreement, and application or interpretation thereof, shall be governed by the laws of England and Wales and each party irrevocably submits to the exclusive jurisdiction of the English courts for the purpose of any dispute or claim arising out of or in connection with this Agreement.
Your use of AllRiffs website and Services equals your understanding of and agreement to this AllRiffs Terms of Use.
AllRiffs reserves the right to delete any service or product or account based on its sole discretion. Users with suspended accounts (or on hold) will not be able to use AllRiffs. In such cases, it is recommended to contact AllRiffs team using the “contact us” form.
7.6 SERVICE DELIVERY & COMMUNICATIONS
To complete an order, Sellers must deliver completed files and proof of work using the 'My Orders' tab located on the Orders Page.
You are responsible to scan all transferred files for viruses and malware. AllRiffs will not be responsible for any damages which might occur due to site usage, use of content or files transferred.
Sellers must use third party file transfer applications to deliver files. Both Buyer and Seller agree to share their email addess on the purchase confirmation notification email sent to both users so that both users can communicate directly to discuss file transfer and delivery process. Use of any third party file transfer application or any other site or service other than AllRiffs will be governed by the terms and conditions of the third party site or service.
Once work is delivered, the buyer has 30 days to accept or dispute the delivered work. A buyer can dispute the delivered work by ticking the "Order Dispute" box for that particular purchase. Failure to accept or dispute within the 30 days period will result in no access to Market for both users (buyer and seller). Once an “Order Dispute” is raised by the buyer, both users have 10 days to resolve the issue. Failure to do so within 10 days will result in to Market for both users (buyer and seller).
The Service requires maintenance from time to time and may be inactive for a period of time as required to improve user experience and add features. Prior to doing so the users will be notified of the date and duration. You agree that AllRiffs is not liable for any downtime if the following occurs: (1) periodic scheduled maintenance or repairs we may undertake from time to time; (2) causes beyond our control or that are not reasonably foreseeable and (3) outages related to the reliability of certain programming environments related to third party partners as part of the supply chain.
8 SUPPORT
In case you require any support it is recommended to contact AllRiffs team using the “contact us” form (link located in the footer of the website) and provide details of the issue for the team to respond;
9 ETHICAL BEHAVIOR
Improper language or sending rude messages sent to other AllRiffs users will not be allowed and may result in termination of your account.
You should know that we may need to change the username for your account in certain circumstances (for example, if someone else claims the username and it appears unrelated to the name that you use in everyday life). We will inform you in advance if we have to do this and explain why.
9.1 Dos
You agree that you will:
a) Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
b) Provide accurate information to us and keep it updated;
c) Use your real name on your profile; and
d) Use the Services in a professional manner.
9.2 Don’ts
You agree that you will not:
a) Create a false identity on AllRiffs, misrepresent your identity, create a Member profile for anyone other than yourself (a real person), or use or attempt to use another’s account;
b) Develop, support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape the Services or otherwise copy profiles and other data from the Services;
c) Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as caps on keyword searches or profile views);
d) Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of AllRiffs;
e) Disclose information that you do not have the consent to disclose (such as confidential information of others);
f) Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets, or other proprietary rights.
g) Violate the intellectual property or other rights of AllRiffs, including, without limitation,
h) copy or distribute our technology, unless it is released under open source licenses
i) use the website name AllRiffs or our logos in any business name, email, or URL;
j) Post anything that contains software viruses, worms, or any other harmful code;
k) Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
l) Imply or state that you are affiliated with or endorsed by AllRiffs without our express consent (e.g., representing yourself as an accredited AllRiffs employee);
m) Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same, without AllRiffs’ consent;
n) Deep-link to our Services for any purpose other than to promote your profile or a Group on our Services, without AllRiffs’ consent;
o) Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
p) Monitor the Services’ availability, performance or functionality for any competitive purpose;
q) Overlay or otherwise modify the Services or their appearance (such as by inserting elements into the Services or removing, covering, or obscuring information included on the Services);
r) Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms); and/or
s) Violate the terms concerning a specific Service that are provided when you sign up for or start using such Service.
t) AllRiffs makes no representations or warranties concerning inaccuracies, typographical errors or other defects which may become part of the material or content available on this Site.
10 CLOSING THE ACCOUNT
We will suspend your account or stop you from using our services if any of the following occurs:
a) Failure to keep the subscriptions payment;
b) You send us a written notice that you wish to close the account or do it directly on the platform;
c) You do not comply with the terms of use;
d) We believe, at our sole discretion, that you may use or may have used our services for any illegal activities, including the release of metadata, information and other material;
e) We decide to discontinue any of the services;
f) Except of paid accounts, we reserve the right to terminate and delete your account if you haven not accessed our services for three consecutive months. Before doing so, we will notify you notify you by email.
g) We may also restrict your use of the website for any reason we see fit.
h) If the account is closed, you give consent to Members and/or Visitors’ rights to further re-share content and information you shared through the Services;
11 DISPUTES
To help prevent a dispute, AllRiffs, encourages all users to promote good communication and provide detailed information of products and services. Use caution and common sense when using the Service and dealing with other Users.
The first course of action any buyer should take in settling a dispute is to contact the seller directly to resolve the problems directly. It is best to put the complaint in writing, and to keep a copy for your records and to save all the work done by seller and to record all communication between both parties.
AllRiffs is not responsible for any disputes or disagreements between you and any third party you interact with using the Service, including Users. You assume all risk associated with dealing with third parties. You agree to resolve disputes directly with the other party. You release us of all claims, demands, and damages in disputes among Users of the Service and will not involve us in such disputes.
In case of any dispute it is recommended to contact AllRiffs team using the “contact us” form and provide details of the complaint for future reference; This will allow AllRiffs to take action, terminate account and use the information to improve the user experience.
Note that disputes arising from non-ethical behaviour may lead to the suspension of the account.
12 GENERAL PROVISIONS
12.1 REFUNDS
To start the free trial the user must use Coupon code: "FREETRIAL". The FREETRIAL coupon can only be used one and allows the user to use the website for the period of 15 days. To continue using any of the memberships after the free trial period the membership must be purchased. Rates will apply at the time of purchase.
AllRiffs will not refund the payment of any subscription, product or service in the platform.
If the buyer decides to get a refund after having been placed and payment has been made, the buyer must contact the seller outside the platform and agree for the refund to be made. The fund will not include the value associated with AllRiffs commission. The buyer must demonstrate that the seller did not fulfil the seller’s obligations and did not deliver according to the terms set forth in the seller's Service description. Any commissions paid to AllRiffs will not be refunded. Please refer to Disputes section.

Circumstances beyond the control of either party:
In the event of any failure by a party (buyer or seller) because of something beyond its reasonable control:
a) the party will advise the other party as soon as reasonably practicable; and
b) the party's obligations will be suspended so far as is reasonable and in accordance with the agreed timelines between both parties, provided that that party will act reasonably, but this will not affect the Customer's above rights relating to delivery and the right to get a refund of the payment as explained above.
